1Parties and Agreement Structure
The client is the legal entity identified in the applicable Order Summary. The provider is Overland GTM.
The engagement consists of these Services Agreement and Commercial Terms, the applicable Order Summary, and any approved written addendum or separately executed agreement.
Where a separately signed agreement explicitly overrides these standard terms, the separately agreed written terms control for the conflicting provision.
2Services
Overland GTM is a managed GTM operating partner. Depending on the selected package and agreed scope, services may include:

3GTM Engine
GTM Engine standard recurring price: $7,500 USD per month

- Up to 25 connected email senders and up to 2,000 managed outbound email sends per day.

- 1 reporting dashboard, daily GTM activity digest, weekly pipeline review and a monthly sales enablement workshop.
New accounts researched in a month are introduced into the operating system that month. Previously researched accounts remain available for outreach, follow-up, re-engagement, meetings, CRM and pipeline. Capacity is a ceiling, not a target, and no outcome is guaranteed.
4GTM Engine Plus

5Add-ons
GTM Content Expansion Pack, $2,500 USD per month
Additional content and GTM communication support within the approved engagement scope.
Extra SDR Capacity, $2,500 USD per month
Additional managed GTM execution capacity within the approved scope, which may support additional account and contact work, campaign execution, calling, follow-up and reply handling.
Extra Prospect Meeting Support, $1,500 USD per month
Additional Antonio-supported prospect meeting capacity, which may include preparation, meeting support, debrief, opportunity interpretation and follow-up context. No meeting outcome is guaranteed.
Additional Executive Social Profile, $750 USD per month per profile
Supports an additional approved executive or social profile within the managed GTM operating setup. Adding a social profile does not automatically increase every package-level LinkedIn capacity unless explicitly agreed.
Custom-scope AI services
AI Website Concierge, AI Inbound Call Assistant and AI Speed-to-Lead Callback are provided on a custom-scope basis. Pricing and billing frequency are defined in the applicable Order Summary. Variable AI, telephony, platform or usage costs may be separate where applicable, and client-approved scripts, knowledge, qualification rules and routing must be used.
Advanced CRM & RevOps Sprint
Starting reference price from $3,500 USD. Final price depends on approved scope. Possible work may include CRM audit, pipeline structure, lifecycle, routing, workflows, fields, cleanup, deduplication, dashboards, migration and documentation. Not all possible items are included for $3,500; the Order Summary defines final scope and price.
GTM Landing Page Pack, $2,500 USD one-time
Standard scope includes 1 campaign landing page, conversion structure, market and ICP copy, offer and proof, a call to action, form or Calendly integration where appropriate, mobile implementation and basic analytics or tracking QA.
6Trade Show GTM Sprint
Standard price: $5,000 USD per event
Approved capacity and scope: up to 8 weeks of pre-show preparation, up to 4 strategy or workshop sessions, up to 300 target accounts, up to 1,000 contacts processed, up to 3 email or LinkedIn variations, up to 4 event days and a 2-week post-show follow-up period.
The sprint may include pre-show outreach, meeting booking, booth or visitor messaging, email, LinkedIn, calling, SMS or WhatsApp where relevant, qualification, CRM capture, daily debriefs, post-show follow-up, ROI and pipeline tracking, and a post-show review.
Excluded unless expressly included: travel, accommodation, event passes, booth costs and third-party event costs.
7Scope and Capacity
Capacity represents maximum included operating scope, not a guaranteed activity target.
Overland may operate below stated maximum capacities where appropriate, based on strategy, audience size, market, ICP, sender or profile health, campaign performance, conversations, meetings, opportunities, pipeline learning, platform limitations and compliance considerations.
Capacity does not guarantee usage, replies, meetings, opportunities, pipeline or revenue. Overland may adapt the channel mix within the approved engagement scope. The managed channel family may include email, LinkedIn, managed calling, LinkedIn voice notes, SMS, WhatsApp, reply handling, warm-lead engagement, meeting confirmation and no-show recovery. Not every channel must be used in every campaign.
8First-Month Launch Offer
New standard GTM Engine engagements receive 20% off eligible recurring services during the first month. The offer applies automatically to eligible standard recurring services. No promo code is required.

Payment structure
The discounted first month is divided into two equal installments. Payment 1 is 50% of the discounted first-month recurring amount at the start. Payment 2 is the remaining 50% of the discounted first-month recurring amount 15 days later. Beginning in month two, standard recurring monthly pricing applies.
If the client selects eligible recurring add-ons, the 20% launch offer applies to the combined eligible recurring subtotal. The specific calculation displayed in the accepted Order Summary controls the client's first-month amount.
9Billing and Payment
Monthly billing. No long-term commitment.
Overland GTM is billed monthly. Each month may be continued, adjusted or paused based on agreed scope, priorities, operational requirements, results and learning, and mutual commercial decisions. No mandatory 3-month, 6-month or 12-month term applies unless the Order Summary explicitly states one.
For the first month, the standard new-client self-service structure applies a 20% discount on eligible recurring services, with 50% of the discounted first-month recurring amount at start and 50% 15 days later. From month two onward, the standard monthly recurring amount is billed in advance.
Payments already made are not automatically prorated or refunded solely because the client elects to pause or discontinue services during a billing period. Any refund or credit outside the standard structure must be expressly agreed or legally required.
One-time or project fees are billed according to the Order Summary. Standard self-service checkout may require those fees in full at the initial payment. Custom payment schedules require separate written agreement.
10Automatic Payments Through Stripe
Where automatic billing is selected, payment processing is provided through Stripe. The client may be asked by Stripe to provide card details, bank-account details, ACH authorization, a SEPA mandate, Bacs authorization or other eligible payment authorization, depending on currency, client location, Stripe account eligibility and payment method availability. Overland does not require the client to provide raw card or bank credentials directly to Overland.
By completing the applicable Stripe payment authorization and accepting the Order Summary, the client authorizes Stripe and Overland to process charges according to the payment schedule shown in the accepted Order Summary. The actual payment authorization is presented by Stripe where required.
Certain bank-payment methods can take time to settle. A payment marked processing is not necessarily paid until Stripe confirms successful completion.
If a scheduled payment fails, Stripe may retry according to configured payment-recovery settings, the client may be asked to update the payment method, Overland may contact the client regarding the outstanding balance, and service continuation may be reviewed where payment remains outstanding.
11Monthly Engagement Structure
Overland's standard recurring engagement is monthly. No long-term commitment applies unless the applicable Order Summary states otherwise.
Monthly service does not mean unlimited campaigns, markets, ICPs, accounts, contacts, calls, LinkedIn activity or meeting support. Package capacities and approved scope remain applicable.
12Client Responsibilities
The client is responsible for providing accurate product and service information, relevant positioning and product context, timely approvals where required, access to agreed client-owned systems, participation in strategic and pipeline reviews where agreed, and for handling client sales conversations unless separately agreed. Commercial pricing decisions, negotiation, client contracts and final closing decisions remain with the client.
The client must not require Overland to make false claims, misrepresent products or services, violate applicable law, circumvent platform protections or send knowingly unlawful communications.
Where applicable, the client should maintain an internal person responsible for handling sales conversations, commercial decisions, negotiation and closing. Overland is not automatically the client's legal sales representative or contract signatory.
13Overland Responsibilities
Within the approved scope, Overland may operate GTM systems, research accounts, enrich contacts, configure campaigns, operate outreach, manage calling, handle replies, support meetings, organize CRM and pipeline, analyze commercial signals, conduct pipeline reviews and recommend changes.
Overland determines reasonable operating execution within the agreed scope, package, capacity and priorities, while collaborating with the client.
14Third-Party Infrastructure and Costs
Overland's managed operating stack is included within package capacity where explicitly included. However, client-owned subscriptions, domains, inboxes, telephony, software seats or other third-party services may be separate where applicable. Clients do not receive ownership of third-party software.
Where sender or technical infrastructure is client-owned, such as domains, inboxes, CRM, telephony or software subscriptions, the infrastructure remains client-owned and may be managed by Overland as part of the engagement.
Direct administrative access to Overland GTM's internal managed tools is not included by default. The client does not own Overland proprietary systems, third-party software or internal automation infrastructure simply because Overland operates them during delivery.
15Data, Systems and Deliverables
You keep the system we build.
Where applicable and subject to licensing and third-party restrictions, the client retains delivered CRM records, target-account research, delivered contact data, messaging, scripts, talk tracks, campaign learnings, documentation, playbooks and client-owned infrastructure configurations.
This does not include ownership transfer of third-party databases, licensed software, Overland proprietary tooling or third-party intellectual property.
16Meetings and Meeting Intelligence
Every prospect conversation can become structured sales intelligence.
Meeting-related services may include scheduling, calendar booking, preparation, recording where configured, transcription, summaries, pain points, objections, buying signals, competitor mentions, decision criteria, action items, next steps, CRM-ready notes and follow-up recommendations.
Recording and transcription are subject to applicable law, participant notification, required consent, client policies and platform capabilities. Overland does not promise recording where it is not permitted.
17Platform and Channel Conditions
Outreach through email, LinkedIn, calling, SMS and WhatsApp depends on platform rules, technical conditions, sender and profile health, applicable laws, audience, strategy, client data and operational judgment.
Overland does not guarantee platform access, account availability, message delivery, connection acceptance, replies, call connection or specific activity volume where external conditions prevent or materially limit execution.
LinkedIn capacity is planning capacity, not a guaranteed platform entitlement, and Overland does not promise to bypass or circumvent LinkedIn restrictions. Managed outbound email sending adapts according to sender health, deliverability, audience, campaign requirements and engagement; daily send capacity is a maximum included capacity, not a mandatory daily target.
18Results and Performance
No guaranteed commercial outcomes.
Overland does not guarantee leads, positive replies, meetings, opportunities, pipeline value, conversion rate, revenue or closed sales.
GTM outcomes depend on multiple factors outside Overland's control, including product, pricing, market, ICP, timing, competition, sales execution, client response speed, sales process and buyer demand. Overland provides managed execution, systems and commercial learning within the approved engagement scope.
19Changes to Scope
Changes within normal package capacity may be handled operationally. Material changes may require a package upgrade, an add-on, custom scope, a separate project or a written commercial adjustment.
For one bottleneck, an add-on may be appropriate. For multiple system-wide capacity constraints, GTM Engine Plus may be more appropriate. Overland does not automatically change billing without client approval, and scope changes should be commercially agreed.
20Pausing and Ending Services
Standard engagements are monthly with no long-term commitment. The client and Overland may discuss continuation, adjustment, pause or ending the engagement based on priorities, scope, capacity and commercial context.
Any specific notice period or cancellation mechanics that apply to your engagement are set out in your applicable Order Summary or separately executed agreement.
21Taxes
Displayed prices are in the currency shown in the applicable Order Summary. Applicable taxes, VAT or similar charges may be added or treated according to client location, supplier location, tax registration and applicable law. The checkout and order controls the final charged amount.
22Privacy and Data Handling
Overland may process business and contact information necessary to operate the agreed GTM services. Stripe processes payment information according to Stripe's own payment infrastructure and policies. Raw card and bank credentials are not stored by Overland's public checkout application.

23Intellectual Property and Ownership
The client keeps delivered GTM assets and client-owned infrastructure where applicable. Overland retains its proprietary methods, proprietary internal systems, reusable internal tooling and pre-existing intellectual property where legally appropriate.
24Confidentiality
Overland and the client each expect that confidential information shared during the engagement is used only to deliver and receive the services.
25Liability and Legal Provisions
The warranties, limitation of liability, indemnification, force majeure, governing law, jurisdiction and dispute-resolution provisions that apply to an engagement must be set out in a separately executed agreement. These standard terms do not supply unresolved legal provisions.
26Order of Precedence
Where documents conflict, the following order applies, subject to final legal review:
- A signed or custom agreement, or an approved written amendment, if any.
- The client-specific Order Summary.
- These standard Services Agreement and Commercial Terms.
27Changes to These Terms
Material changes apply prospectively and receive a new agreement version. Overland does not silently replace the terms attached to a historical accepted order. The version accepted by the client remains associated with that order. The current published version is Terms v1.0.
